Seller 卖方：

Buyer 买方：
WHEREAS:SellerhasavailableforsaleofGoldDust,hereinaftercollectivelyreferredtoas“Gold”.
鉴于：卖方能提供黄金的销售，在下文中全部称为：黄金
WHEREAS:BuyerwishestopurchaseSeller"sGoldoveranagreedupontimeperiod.
鉴于：买方同意在有效时期内按协议采购卖方的黄金
NOWTHEREFORE:ThePartiesagreetotheTermsandConditionsasfollows:
在此：双方同意以下的合同条款
SCOPEOFTHECONTRACT:合同适用范围：
a)TheSeller,underfullauthorityandresponsibility,declarestha thehasthecapabilityandunrestrictedrighttoselltheGoldandguaranteesthatheiscapabletolegallyexporttheGoldDust.
卖方在完全权利和责任下，声明其有能力和自由权利去销售黄金及保证是合法出售。
Sellermustpaythefulloflocaltaxes,duties,insurance,smelting/assay,governmentfees,shippingcostfromlocationofgoldtoloadingairport,shippingcostfromdepartureoforigintobuyerdesignatedairport.
卖方必须全额支付当地税费，关税，保险，检验，政府费用，从当地到机场运费，机场到最终买方目的地机场运费。
Afterthegoldisdeliveredtobuyerdesignatedairport,SellerRepresentativeorShippingAgentmustallowthebuyertoseeandinspectthewholequantityoftheproductinperson.SellerRepresentativeorShippingAgentisnotallowedtoaskforrandomsamplefeeordiplomatfeeorsecuritystoragefeeorreleasechargeorwarehousefee,etc.Paymentismade100%atagobyswifttransferaftersatisfactoryfinalassayreportforthewholequantityinbuyerselectedrefinery.
当黄金运送到达买方目的地机场，卖方代表人或运输代理必须同意让买方亲自看和检测全部的数量。卖方代表人或运输代理不能收取随机抽样费或者外交费或者安全保管费或者仓库发放费等等，100% 的货款必须在买方的精炼厂对全部数量做出最终的满意报告后进行电汇。
b)TheBuyer,underfullcorporateauthorityandresponsibilitydeclaresthatheandhisassociateshavethefullcapabilitytopurchasetheun-refinedgoldandsuchpurchasewillbeincreasedwithoptionsofannualextensions.
买方在完全法人权利和责任下声明其和其合作伙伴完全由能力去采购未提炼的黄金及今后将会增加年度采购量。
AnyexcuseofdelayedorpartialpaymentisnotaeptedafterfinalassayandthevalueaeptedbybothBuyerandSeller.
当双方接受最终的检验报告和接受其价值后，任何的延迟或部分付款理由都不再接受。
c)Shouldanyirregularitiesduringthecourseofthisexerciseisexecuteddetailsshallbenotifiedtotherelevantauthoritieswhichwillbefollowedupbyaruthlesspursuitforbreachofcontract.
如果在履行条款的过程当中，发生任何不法行为的将会报告给监管当局进行违约合同的无情控诉

QUANTITY:数量
SelleragreestosellanddelivertotheBuyerundertheTermsofthisAgreementaspotquantityof500KG.The100KGcanbedeliveredontranchesof100KG.Ifrequestedbytherefinerybaseddailycapacity.AndtrancheswillbedeterminedbyorBuyer.
卖方同意按照本协议的现货 500KG 销售和交货，100KG 可以作为一部分交货，如果基于精炼厂每日产能，数量可由买方决定。
PRICE:价格：USD/KGCIF 价
a)ThepricepayablebytheBuyertotheSellerisfixedatpriceUS$XXXXXUSDperkgofgolddustCIF.
这个价格是买方向卖方应付的固定价格 USDXXXXXKG，CIF
b)Referencedfundsinthisagreementtobewired,isinUnitedStatesCurrencyonly.
本协议的参考价格将是美元转帐
DELIVERYTERMS:交货条款
a)ThedeliverytermsforthisS.P.A.agreementshallbeonaCIFbasis(byAir-cargo)totheBuyer"sdesignatedairport()
本协议的交货条款为 CIF(空运)到买方目的地机场
b)TheSellerwillpayalltaxes,duties,insurance,etc,inthecountryoforigin.
卖方将在原产国支付全部的税费，关税，保险等
b)TheSellerwillbeartheshippingcostfromthedeparturepoint(Ara,Ghana)totheBuyer"sdesignateddestinationairport().
卖方将要承担从出发站阿克拉到买方目的地机场运费
c)TheBuyerwillclearshipmentofGoldDustthroughCustomsattheportofimport.TheBuyerwilltransportthegoldfromBuyer"sdesignatedairport()undertheSeller"snamebutattheBuyer"sCosttotheBuyer"sdesignatedrefinery.
买方将在进口港通过海关进行黄金的清关
e)TheBuyerwillbephysicallypresentatCustomsoftheportofimportandtoinsureallprocedureshavebeenfollowedandactualdeliverywaspletedtotherefinery.BuyerwillnotifytheSellerofsuessfulpletionofeventsinwrittenform.
买方将要在进口海关确保整个流程是按照实际的完整交货到精炼厂，买方要以书面形式通知卖方事情已成功办理完成了。
f)LegalOwnershipofGoldDustisretainedbytheSelleruntilthepaymentinfullisreceivedbySeller"sbankfromtheBuyer.
黄金的法定所有权保留在卖方手里直到收到买方的所有货款。
PAYMENTTERMS:付款方式：
FinalpaymentfortheGoldshallbemadebyWireTransfertotheSeller"sdesignatedBank,within48hoursafterreceiptoffinalassayreportfromtherefinery.PaymentNoticewillserveaspartofthecontractandhasthesamelegaleffect.
在收到精炼厂的检验报告的 48 小时内，最终的货款将通过转账到卖方指定的银行账户，付款通知将视为合同的一部分及拥有相等的法律效力
PROCEDURE:程序：
1.BuyersignsthisAgreementande-mailsittoSellerforhissignature.SellersendssignedAgreementtotheBuyerviae-mail.
买方签了这个协议并通过邮件发给卖方签名。
2.TheBuyershalladvisehis/herbanktoissueaSwiftmessageMT799ForproveoffundasabilitytoaffectthepaymentafterAssayreportforthevalueofthegolddustandsentviaSWIFTtoSellersBankasasecurityforthetwoparties.
买方要通知其银行发出 MT799 的电文做资金支付能力证明以便验货认可后能电汇给卖方银行的对双方的保证。
3.UponreceiptofconfirmationslipofthebankMT799bySeller"snominatedbankSellermencepackagingofthesaidquantityanddeliv ertothechoiceofRefineryoftheBuyerforfinalAssaytonecessitateout-rightfullpayment
一旦卖方指定银行收到 MT799 电文的确认书，将会着手包装所说的数量和交货到买方选择的精炼厂做最后的检验以便全款的顺利支付
4.Within10workingdaysofreceiptoftheconfirmationslipoftheMT799,theSellerwilldeparttoBuyer"sdestination().
在接到银行 MT799 的确认电文 10 天内，卖方将动身去买方的目的地
5.TheBuyermustinspectandconfirmthewholelotofthesaidquantityinperson.
买方必须亲自进行整批货数量的检验和确认
6.AssaywillbeconductedatBuyers" aountatthepresenceofbothbuyerandSellerinBuyer"schoiceofrefineryin
当买方和卖方现场在买方指定的精炼厂时，检验费将由买方账号扣除
7.PaymentwillbefacilitatedbyanAuthorityInvoicefromtheSeller.
付款将按照由卖方出具的一份权威发票进行。
8.PaymentbytheBuyershallbemadetotheSeller"sdesignatedBankwithin5daysafterreceiptoffinalassayreportfromtherefineryanditsvaluewillbeaeptedbybothBuyerandSeller.
在接收到由买方指定的精炼厂发出的双方都接受的最后检验报告的 5 天内买方要付款给卖方指定的银行。
DOCUMENTS:文件：
Theshipmentanddeliveryshallbeidentifiedwithallassignedcontractreferencecodesandnumbers.SellertoprovidethefollowingdocumentstoBuyerpriortoarrivalofthegold:
发货和交货应该等同于所签合同参考的编号和数字，卖方提前提供以下文件给买方
a)TwooriginalsofCommercialInvoicesinfavouroftheBuyer
2 份买方赞同的正式的商业发票
b)CertificateOfOrigin 原产地证
c)CertificateOfOwnership 所有者证明
d)ExportPermit 出口许可证
e)PackingList 装箱单
f)OriginalCopyoftheAirwayBill 空运单的复印件
g)CustomsDeclarationForm(s)(suppliedbyBuyer,ifapplicable)
报关单(如果可能的话，买方提供)
h)Declarationthatthegoldisfreeandclearandofnon-criminalorigin,unencumberedandfreeofanyliens,andistransferableandexportable
声明这个黄金没有牵连和没有犯罪，没有阻碍和没有扣押权，是可转让和出口的。
